SNT Motiv Merges Subsidiary SNT Robotics to Strengthen Robotics Business Competitiveness

Combining Capabilities in Complete Robot Product Development
Global automotive parts manufacturer SNT Motiv is set to strengthen its robotics business competitiveness by merging its subsidiary, SNT Robotics, through an absorption-type merger.
On September 1, SNT Motiv announced that its board of directors had convened at its headquarters in Busan and approved the merger plan with SNT Robotics.
This merger will proceed as a capital-free merger, as SNT Motiv holds all outstanding shares of SNT Robotics and will not issue new shares. The merger ratio has been set at 1 to 0.
Following the procedures for a small-scale merger under the Commercial Act, the merger will proceed solely with the approval of the board of directors, without requiring shareholder approval. Dissenting shareholders will not be granted appraisal rights for their shares.
Through this merger, SNT Motiv plans to combine its existing precision manufacturing, motor and drive technology, and robot actuator expertise with SNT Robotics' capabilities in the development of complete robotic products.
Based on this synergy, the company aims to enhance its overall competitiveness in the robotics business, improve operational efficiency, and strengthen its ability to secure new orders and execute projects.
