On August 31, Samsung Securities revised its target price for Samsung Biologics down from 1.9 million won to 1.8 million won, reflecting the dilution in equity value resulting from the recent rights offering. The investment rating remains ‘Buy’.
Keunhee Suh, a research analyst at Samsung Securities, stated, “With this rights offering, new shares equivalent to 5% of existing shares will be issued, and the target price has been lowered to reflect the resulting dilution effect.” Suh added, “Since the new share issuance price has not yet been determined, this adjustment is a provisional figure that mechanically reflects the increase in shares only. Any earnings contribution from the acquisition of the polypeptide plant will be reflected after the completion of the acquisition.” She further commented, “Once the detailed acquisition terms are confirmed, the value of the new business division will be assessed separately.”
On August 28, Samsung Biologics announced via board resolution that it had decided on a rights offering totaling 3.009 trillion won. Of the capital raised through this rights offering, 2.7 trillion won will be allocated to acquire 100% of the shares of Polypeptide Group, a peptide CDMO company, through a public tender offer. Suh explained, “Opting for a significant capital increase instead of borrowing is considered an effort to minimize financial structure burden.” She added, “It also appears to be a strategic move to reserve borrowing capacity for future investments in areas such as production capacity (CAPA) expansion.”

The rationale behind the rights offering and acquisition is seen as a strategy to overcome the limitations of existing core businesses caused by the recent implementation of Section 232 of the U.S. Trade Expansion Act imposing healthcare tariffs. Suh explained, “With U.S. protectionism intensifying, Samsung Biologics is diversifying its portfolio into the peptide sector—which has recently emerged as a key ingredient for obesity and diabetes treatments—and securing global manufacturing bases. In so doing, the company aims to offset the geopolitical risks of its antibody business and secure growth momentum over the mid-to-long term.”
