Remaining Treasury Shares to Be Used for M&A and Growth Investments After Cancellation
Celltrion has executed the largest share cancellation in its history, reducing its outstanding shares by approximately 4%.
On April 1, Celltrion announced that the cancellation of 9.11 million treasury shares, which was resolved by the board of directors on March 24, has taken effect. The value of this cancellation amounts to approximately 1.7154 trillion won, surpassing the combined cancellation amounts for 2024 and 2025.
The canceled shares represent about 4% of the company’s total outstanding shares. Of these, 3 million shares had been held for employee stock option compensation purposes. The company explained that it included these shares in the cancellation to prioritize enhancing shareholder value.
Celltrion will begin the registration process for the cancellation on April 1. After completing registration on April 3, the company plans to apply for a change in listing with the Korea Exchange on April 6 and finalize the listing on April 13. The remaining approximately 3.23 million treasury shares after the cancellation will be used for future growth strategies, such as mergers and acquisitions, adoption of new technologies, and facility investments.
Previously, Celltrion paid a cash dividend of 750 won per share. Including the share cancellation, last year’s shareholder return ratio reached about 103%, significantly exceeding the company’s stated three-year average target. This dividend was carried out by converting the capital reserve into retained earnings, a method expected to increase actual shareholder returns.
